A strong Compliance Management System (CMS) is not built on policies alone. It depends on practical internal controls that translate regulatory requirements into consistent daily operations. For community banks, the challenge is to create controls that are effective, clearly assigned, adequately documented, and appropriately scaled to the bank&rsquo,s size, products, staffing, and risk profile.

Part 1 of this 2 Part series of interactive webinar workshops provides a practical overview of the core components of a CMS and establishes the foundation for designing and evaluating internal controls in a community bank environment.

The class will begin with a brief review of the primary CMS components, including board and management oversight, policies and procedures, training, monitoring, complaint management, and independent audit. Participants will then examine how internal controls support each component and help the bank prevent, detect, correct, and escalate compliance problems.

The instructor will explain the major types of internal controls and provide community-bank examples showing how each type operates within a CMS. The session will address preventive, detective, corrective, manual, automated, supervisory, and compensating controls, as well as the importance of segregation of duties, dual control, approval authority, reconciliations, exception reporting, quality control, and management review.

Participants will also learn how to distinguish between a policy requirement, a procedure, a control, and evidence that the control actually operated. This distinction is particularly important during compliance monitoring, internal audit, and regulatory examinations.

The workshop portion will include practical scenarios involving deposit, lending, marketing, disclosure, and customer-service activities. Participants will identify the regulatory risk, determine which controls are missing or ineffective, and recommend practical improvements.

A case study will guide participants through a CMS weakness in which the bank has adequate policies but continues to experience repeat compliance errors. Participants will evaluate whether the problem results from poor control design, inadequate execution, unclear ownership, insufficient training, weak monitoring, or ineffective corrective action.

With a career spanning 40+-years as a community banker and banking regulatory risk management consultant, Lauren Sparks is an accomplished advocate for community banks and women’s financial services leadership. In her career Ms. Sparks held positions in community banks that ranged from teller to Investment Officer, Loan Officer, and Cashier. She founded a women-owned, women-led denovo community bank and served as CEO and Chairman of the Board. In risk management consulting, Ms. Sparks moved to bank consulting firms at a local level, and then to a national level where as a Director she specialized in troubled banks and fintech. In 2009, Ms. Sparks formed 3PR, Inc., a woman-owned consulting firm specializing in community banks and financial service firms where she serves as CEO. 3PR serves more than 50 community banks at any given time and has been a preferred vendor for one of the world’s largest software providers.

She has edited the Reference Guide for Regulatory Compliance Manual (RGRC) for the American Bankers’ Association (ABA). Ms. Sparks is a founder of the Houston chapter of the Association of Certified Anti-Money Laundering Specialists (ACAMS) and is a Certified Anti-Money Laundering Specialist (CAMS), Certified Regulatory Compliance Manager (CRCM), and has been an Accredited ACH Professional (AAP).
